These Terms of Service ("Terms") govern your use of the Hive Forma LLC website at hiveforma.com and any services provided by Hive Forma LLC. Please read these Terms carefully before using our website or engaging our services.
By accessing our website or engaging our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our website or services.
Hive Forma provides creative operations consulting and technology infrastructure services. Services may include:
Specific terms for individual engagements — including scope, deliverables, timelines, and fees — are defined in separate engagement letters or statements of work. In the event of conflict between these Terms and an engagement agreement, the engagement agreement governs.
Payment terms are specified in individual engagement agreements. Unless otherwise agreed, invoices are due within 15 days of issuance. Late payments may be subject to interest charges at a rate of 1.5% per month. We reserve the right to suspend services for accounts more than 30 days past due.
Unless otherwise agreed in writing, Hive Forma retains ownership of all methodologies, frameworks, and general know-how developed in connection with engagements. Client-specific deliverables are owned by the client upon full payment.
Both parties agree to maintain the confidentiality of non-public information shared during engagements. This obligation survives the conclusion of any engagement.
To the fullest extent permitted by law, Hive Forma's total liability for any claims arising from services provided shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
Either party may terminate an engagement with written notice as specified in the applicable engagement agreement. Upon termination, the client is responsible for payment of all work completed through the termination date.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.
